CIVIL LITIGATION / DEFENSE GUIDE

Litigation strategy for small public companies

For a small public company, defense costs and management distraction can be as consequential as the claim itself. A useful litigation plan accounts for the entire business.

Put the dispute in business context.

A lean management team may be handling financing, customer relationships, reporting, and operations while responding to litigation. The first assessment should identify what must happen immediately, what can be staged, and who owns each decision. Company size alone does not resolve the merits or the applicable procedural obligations.

A first-response work plan

Confirm service and response dates, related proceedings, and any urgent requests for relief. Identify the principal documents, potential witnesses, data systems, and preservation needs. Assign internal responsibility for coordinating with counsel so that requests do not reach multiple teams without a common plan.

Insurance, governance, and reporting

Review potentially applicable policies, notice requirements, insurer consent provisions, and any reservation of rights. Identify whether the board, a committee, or separate counsel should participate. Coordinate with securities counsel and accounting advisers on disclosure and financial reporting questions; litigation strategy alone does not determine those obligations.

Budget to the next meaningful decision

A phased budget can distinguish initial assessment, pleadings, certification, discovery, expert work, and trial preparation. Discuss assumptions, third-party costs, approval thresholds, and what would trigger a revised forecast. A budget should support informed choices rather than imply a guaranteed total cost.

Keep external communications aligned

Statements to investors, customers, employees, and the media may later be compared with pleadings and internal records. Establish a review process for litigation-related communications that protects accuracy and considers privilege, confidentiality, disclosure, and operational needs.

A practical next step

Bring the latest pleadings, public filings addressing the dispute, insurance information, the reporting calendar, and a list of the business decisions the litigation may affect. “Small public company” is used descriptively here; SEC smaller reporting company status is a separate regulatory classification.
