Shareholder derivative & governance disputes

A claim brought on behalf of the corporation raises issues different from an investor’s direct claim. The company’s interests and the decision-making process need careful attention.

Determine whose claim is being asserted.

Derivative allegations may challenge oversight, transactions involving insiders, or other board and officer conduct. The governing jurisdiction, the company’s organizational documents, and the distinction between direct and derivative claims can shape the response. Federal Rule 23.1 addresses pleading requirements in federal derivative actions; substantive questions require separate analysis.

Demand and the governing law

Review whether a shareholder demand was made, what it requests, and any allegations seeking to excuse demand. The applicable law and procedural posture determine the questions counsel must address; a response appropriate in one jurisdiction may not be appropriate in another.

Representation and independence

Company counsel and counsel for individual defendants should assess potential conflicts. Depending on the circumstances, the board may need independent advice or a committee process. The structure, authority, and documentation of any review should be considered before substantive steps are taken.

Build a reliable record

Identify board materials, minutes, policies, communications, and information available to decision-makers at the relevant times. Preserve the record and evaluate access, privilege, and confidentiality before circulating investigative material.

Coordinate related matters

A derivative action may overlap with securities claims, a regulatory inquiry, or an internal review. Coordinate calendars, factual positions, preservation, insurance, and resolution discussions while accounting for the different parties and interests involved.

A practical next step

Provide the demand or complaint, charter and bylaws, relevant board materials, ownership information available to the company, and details of related proceedings. The appropriate response depends on the governing law and the company’s circumstances.
